These Terms of Service (“Terms”) form a binding agreement between you and Progress Core Sdn. Bhd. (“Progress Core”, “we”, “us”, “our”), a company incorporated in Malaysia. By creating an account, joining the waitlist, purchasing a subscription, or otherwise using the Progress Core mobile application, web portal, or APIs (together, the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

Plain-English summary Progress Core is software, not a coaching service. Trainers are responsible for the coaching they deliver and for the way they treat their clients’ data. Founder slots are free for life, lifetime is a one-time payment, monthly and annual auto-renew until cancelled. Refunds are limited to the cases listed below. Use the Service lawfully and don’t abuse the payment rails — if you do, we may suspend or close your account.

Progress Core provides software tools that help personal trainers manage sessions, packages, invoices, retention nudges, and payments. We are a technology platform; we do not provide personal training, nutritional advice, medical advice, or financial advice.

Where the Service facilitates payments between a trainer and their client, the contract for those coaching services is between the trainer and the client. Progress Core is not a party to that contract and is not responsible for the quality, safety, legality, or outcomes of any coaching delivered.

04 Trainer subscriptions and pricing

The Service is offered to trainers under three commercial models:

Founder cohort — free for life

A limited number of founder slots are issued on a first-come basis during the private beta. A founder slot grants free access to the core Service for the lifetime of the account, subject to a fair-use policy and continued compliance with these Terms. Founder slots are non-transferable and cannot be resold. Once the founder cap is reached, no further free-for-life slots will be issued.

Lifetime plan — one-time payment

A capped number of lifetime slots are sold at a one-time price (currently RM 79). A lifetime slot grants access to the core Service for as long as Progress Core operates the Service. If the lifetime cap is reached and an additional payment is captured due to a payment-system race, we will, at our option, refund the payment in full or automatically upgrade the account to twelve (12) months of the Standard annual plan and refund the price difference.

Standard plan — monthly or annual

Recurring subscriptions billed in advance at the price displayed at checkout (currently RM 19 per month or RM 149 per year). New trainer accounts that are not on a founder or lifetime slot receive a free trial of fourteen (14) days (or such other period as displayed at sign-up) with no card required. Standard subscriptions renew automatically until cancelled.

All prices are quoted in Malaysian Ringgit (MYR) and are inclusive of Sales and Service Tax (SST) where applicable. Prices may change — existing paid subscribers will be given at least thirty (30) days’ notice before any price change takes effect on their account.

06 Trainer-to-client payments (Flow B)

Progress Core lets trainers collect payments from their clients via Stripe and Rapyd. By using these features you also agree to the terms of the relevant payment processor (Stripe Services Agreement, Rapyd Terms of Service). Payment processing is provided by those third parties — Progress Core does not hold client funds in trust on the trainer’s behalf.

Payouts to a trainer’s nominated bank account are made by Rapyd once the trainer’s beneficiary record is verified. The trainer is responsible for providing accurate bank details, for any tax owed on funds received, and for issuing receipts to their clients as required by law.

Chargebacks, disputes, and refunds initiated against a trainer by their clients are the trainer’s responsibility. Progress Core may deduct disputed amounts and reasonable fees from future payouts.

08 Your content and our licence

You retain all rights in the data and content you upload to the Service (client profiles, sessions, remarks, invoices, branding assets). You grant Progress Core a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and otherwise process that content solely to operate, secure, and improve the Service for you.

You are responsible for ensuring you have the right to upload any content, including client personal data, and that you have obtained any required consents from the relevant individuals.

09 Our intellectual property

The Service, including the Progress Core name, logo, mobile application, web portal, API design, source code, documentation, and look-and-feel, is owned by Progress Core Sdn. Bhd. and protected by Malaysian and international intellectual property law. Nothing in these Terms transfers any of those rights to you. We grant you a limited, revocable, non-transferable licence to use the Service strictly in accordance with these Terms.

11 Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Progress Core disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.

Progress Core does not warrant that the use of the Service will achieve any particular business outcome, such as improved client retention, increased revenue, or reduced administrative workload. Marketing claims are illustrative only.

You agree to indemnify and hold harmless Progress Core, its directors, officers, employees, and contractors against any third-party claim, loss, or damage (including reasonable legal fees) arising out of:

15 Beta features

Features that are explicitly labelled “beta”, “preview”, or “experimental” are provided for evaluation. They may change, misbehave, or be withdrawn without notice, and are excluded from any service-level expectations.

16 Security reports

If you believe you have found a security vulnerability in the Service, please report it privately to security@progresscore.app rather than disclosing it publicly. We will acknowledge reports within five (5) business days and work in good faith to address valid issues.

17 Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the latest revision. We will give active trainers at least fourteen (14) days’ notice of material changes by email or in-app banner before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

18 Governing law and disputes

These Terms are governed by the laws of Malaysia, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be resolved exclusively by the courts of Kuala Lumpur, Malaysia, except that we may seek injunctive or equitable relief in any jurisdiction where infringement of our intellectual property occurs.
